TO: END BUYER / BUYER MANDATE

Dear Sir,

SUBJECT: SOFT/FULL CORPORATE OFFER

We hereby declare that, the Seller, with full corporate authority, makes a commitment to sell the crude oil products, hereby certifies, represents and warrants, that it can fulfill the requirement of this contract and provide the commodity herein mentioned and under the terms and conditions agreed between the Seller and end user company for the sales and supply of listed below:

MAZUT M100 GOST 10585--75/99:
MINIMUM QUANTITY (50,000 MTs), 

MAXIMUM QUANTITY (500,000 MTs)
PRICE: TO BE ADVISED IN SCO/FCO, 

TERMS: SPOT OR CONTRACT
PORTS: TO BE ADVISED IN SCO/FCO 

CONTRACT BANKING FOR TRANSFEARABLE DLC NON NEGOTIABLE:

1. Buyer issues ICPO stated this procedure with CP. 

2. Seller issues SPA to be confirmed by buyer. After signing contract by both parties, buyer issues one assurance letter to Seller via email endorsed by Buyer’s Bank that they are willing and ready to send Operative POF Via swift (Transferable DLC) with indicate of one swift (Transferable DLC) of the first shipment value upon receive copy of PPOP documents as stated below within 48 hrs.

3. Seller sends to Buyer’s official Email address directly copy of Partial POP Including:

a) Copy of Export/License Permit Certificate
b) Copy of Statement/Commitment of Availability of the Product
c) Copy of Certificate of Origin
d) Copy of Certificate of Analysis of Product by Lab
e) Copy of Commercial Invoice with Bank details to receive the POF outside Russia.

4. Upon successful verification of PPOP, Buyer issues POF via Transferable DLC to Seller bank.

5. Seller Obtains POF Verification Result and moves product from Storage facility to loading Port and issues Dip Test Authorization Letter (DTA), Fresh SGS, Tank receipt, Transaction passport.

6. Seller starts loading and issues shipping documents and title ownership documents to Buyer and Buyer contacts the captain on board to confirm the estimated time of arrival (ETA) and current position of the said vessel. Upon arrival of the vessel at discharge port after SGS or CIQ conducted at discharge port then Buyer makes payment via T/T to Seller bank account for both values of “allocation booking fee” and cargo quantity. 

7. Seller and Buyer Pay Commission to all Parties against IMFPA agreement. For Monthly delivery

8. Seller Opens 2% PB for 12 Months deliveries shipment and Buyer Opens Transferable DLC to seller for 12 Months shipment.

9. Delivery Commences as Per Contract and Buyer releases payment to seller bank after inspection at discharge port 100% payable for each shipment within 7 banking days upon the cargo passed SGS or CIQ and receipt of all the relevant payment documents for cargo at discharge port.

10. Seller and Buyer Pay Commission to all Parties against IMFPA agreement

The Banking procedures are as follows: 

SPOT DEAL WITH POSSIBLE ROLLS AND EXTENSION TO BE AGREED BETWEEN SELLER AND BUYER ONLY DEPENDS ON CREDIBILITY OF THE PREVIOUS LIFT SATISFACTORY BY BOTH PARTIES.
